Terms of Service

By accessing or using OtoLab's website, products (OtoChat, OtoDocs, OtoOps, OtoSocial), or any related services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Services on behalf of an organization, you are agreeing to these Terms on behalf of that organization and represent that you have the authority to do so.

If you do not agree to these Terms, you must not access or use the Services.

OtoLab provides AI-powered automation solutions including:

• OtoChat: Conversational AI platform for deploying intelligent chatbots across messaging channels.
• OtoDocs: Intelligent document processing for extracting, classifying, and validating data from documents.
• OtoOps: Workflow automation engine for orchestrating multi-step business processes.
• OtoSocial: AI-powered social media management and automation platform.

We reserve the right to modify, suspend, or discontinue any part of the Services at any time with reasonable notice. We will not be liable to you or any third party for any such modification, suspension, or discontinuation.

To access certain features of the Services, you must create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information during registration.
• Maintain and promptly update your account information to keep it accurate.
• Maintain the security of your account credentials and not share them with third parties.
• Immediately notify us of any unauthorized use of your account.
• Accept responsibility for all activities that occur under your account.

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe have been compromised.

You agree to use the Services only for lawful purposes and in compliance with these Terms. You agree not to:

• Use the Services to process, store, or transmit content that is illegal, harmful, threatening, defamatory, or otherwise objectionable.
• Attempt to gain unauthorized access to any part of the Services, other accounts, or computer systems or networks.
• Interfere with or disrupt the integrity or performance of the Services.
• Use the Services to send spam, unsolicited messages, or bulk communications.
• Reverse engineer, decompile, disassemble, or attempt to discover the source code of the Services.
• Use the Services in a way that infringes the intellectual property rights of others.
• Use automated systems or bots to access the Services beyond the APIs we provide.
• Resell, sublicense, or redistribute the Services without our express written consent.

Your Content

You retain all rights to the content, documents, and data you upload to or process through the Services ("Customer Data"). By using the Services, you grant us a limited license to process your Customer Data solely for the purpose of providing the Services to you.

Our Commitment

• We will never use your Customer Data to train our AI models.
• We will never sell, rent, or share your Customer Data with third parties for their benefit.
• We will process your Customer Data only as instructed by you and as necessary to provide the Services.

OtoLab Property

The Services, including all software, designs, text, graphics, and other content created by OtoLab, are our exclusive property and are protected by intellectual property laws. These Terms do not grant you any right, title, or interest in the Services beyond the limited right to use them in accordance with these Terms.

Access to certain features of the Services requires a paid subscription. By subscribing, you agree to:

• Fees: Pay all applicable fees as described in your selected plan. Fees are based on usage tiers and billed monthly or annually.
• Payment: Provide valid payment information and authorize us to charge your payment method for recurring fees.
• Price Changes: We may change our pricing with at least 30 days' notice. Price changes take effect at your next billing cycle.
• Taxes: Fees are exclusive of applicable taxes. You are responsible for paying all taxes associated with your use of the Services.
• Refunds: Fees are generally non-refundable. If you cancel during a billing period, you retain access through the end of that period.

For enterprise agreements with custom pricing, the terms of your Order Form or Master Service Agreement take precedence over this section.

We are committed to providing reliable, high-performance services:

• Uptime: We target 99.9% uptime for all paid plans, measured on a monthly basis (excluding scheduled maintenance).
• Support: Support response times vary by plan — see our pricing page for specific SLA details.
• Scheduled Maintenance: We will provide at least 72 hours' notice for planned maintenance that may affect service availability.

If we fail to meet our uptime commitment, eligible customers may request service credits in accordance with our SLA policy. Service credits are your sole and exclusive remedy for any failure to meet our uptime commitment.

To the maximum extent permitted by applicable law:

• OtoLab shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, revenue, business opportunities, or goodwill.
• Our total aggregate liability for all claims arising out of or relating to these Terms or the Services shall not exceed the amount you paid us in the twelve (12) months preceding the event giving rise to the claim.
• These limitations apply regardless of the legal theory upon which the claim is based and whether or not OtoLab has been advised of the possibility of such damages.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the greatest extent permitted by law.

You agree to indemnify, defend, and hold harmless OtoLab, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or relating to:

• Your use of the Services in violation of these Terms.
• Your Customer Data or any content you process through the Services.
• Your violation of any applicable law, regulation, or third-party rights.

OtoLab will indemnify you against third-party claims alleging that the Services, as provided by us, infringe any third-party intellectual property rights.

Either party may terminate these Terms:

• By You: You may cancel your account at any time through your account settings or by contacting us. Cancellation takes effect at the end of your current billing period.
• By Us: We may suspend or terminate your access if you breach these Terms, fail to pay fees, or if we reasonably believe your use poses a security risk.
• For Convenience: Either party may terminate with 30 days' written notice.

Effect of Termination

• You will retain access to the Services through the end of your paid billing period.
• We will make your Customer Data available for export for 30 days after termination.
• After the 30-day export period, we will delete your Customer Data in accordance with our data retention policy.
• Sections of these Terms that by their nature should survive termination will survive (including Limitation of Liability, Indemnification, and Governing Law).

These Terms are governed by and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of law provisions.

Any dispute arising from or relating to these Terms or the Services shall be resolved through the following process:

1. Informal Resolution: The parties will first attempt to resolve any dispute informally by contacting each other directly.
2. Mediation: If informal resolution fails within 30 days, either party may initiate mediation through a mutually agreed-upon mediator.
3. Arbitration: If mediation is unsuccessful, disputes shall be settled by binding arbitration in New York, NY, under the rules of the American Arbitration Association.

Nothing in this section prevents either party from seeking injunctive or equitable relief in a court of competent jurisdiction for matters related to intellectual property or confidential information.

We may update these Terms from time to time. When we make changes:

• We will update the "Last Updated" date at the top of this page.
• For material changes, we will notify you via email or a notice within the Services at least 30 days before the changes take effect.
• Your continued use of the Services after the effective date constitutes acceptance of the updated Terms.

If you do not agree with the updated Terms, you must stop using the Services and cancel your account before the effective date.
